1. Important Information
1.1 These is a legal agreement between you ("The Licensee") and InkArcade ("InkArcade") regarding the use of the digital products ("Licensed Material") offered by InkArcade.com. The purchase, download or use of any products from InkArcade implies that you have read and accepted these Terms and Conditions.
1.2 InkArcade reserves the right to amend, modify or revise the terms of this agreement at any time without notice.
2. Grant of Rights
2.1 The Licensee has the non-transferable, non-sublicensable right to use the Licensed Material in any media for commercial or personal purposes.
2.1.1 Non-Exclusive License
The Licensed Material is not being sold; it is being provided to the Licensee on a non-exclusive, limited basis. The Licensed Material is sold on a shared license, and can not be individually trademarked or copyrighted. Exclusive copyright and ownership remains with InkArcade. The Licensee has the right to use the Licensed Material in a single project (with the exception of a logo, trademark or service mark).
2.1.2 Exclusive License
The Licensed Material is sold to the Licensee on a limited exclusive basis. Upon purchase of an exclusive item, all copyrights are transferred to the sole ownership of the Licensee. The Licensee has the right to use the Licensed Material in an unlimited number of projects in any media for commercial or personal purposes.
2.2 The Licensee may alter, manipulate and create derivative works of the Licensed Material.
2.3 Unauthorized use will result in immediate termination of this license, and with it, the Licensee's rights to use the Licensed Material.
3. Limitations of Use
3.1 The Licensee may not resell, sub-license or redistribute Licensed Material.
3.2 The Licensee may not sell, license or distribute any derivative work based on the Licensed Material.
3.3 The Licensee may not transform, decompile, disassemble, reverse engineer, translate, or otherwise alter the Licensed Material for the purpose of being unbound by this Agreement.
4. Copyright & Intellectual Property
4.1 Except as expressly stated in this Agreement, InkArcade grants to The Licensee no right or license, express or implied, to the Licensed Material.
4.2 InkArcade asserts copyright on all content found on the web pages under the inkarcade.com domain unless otherwise specified. All content found on the InkArcade web site is protected under copyright, trademark, proprietary or other intellectual property laws of the United Kingdom, and any unauthorized use of such content may violate such laws or this Agreement.
5. Termination & Revocation
5.1 This license will terminate automatically without notice if The Licensee fails to comply with any provision of this Agreement. Upon termination, The Licensee must immediately cease using the Licensed Material and delete all copies of the Licensed Material in The Licensee's posession, confirming the same to InkArcade in writing.
5.2 InkArcade reserves the right to limit or revoke the license to use the Licensed Material at any time. Upon notice of any revocation of such license, The Licensee shall immediately cease using such Licensed Material and shall where possible ensure that any clients and customers do likewise. The Licensee shall delete all electronic copies of the Licensed Material from its electronic storage media, confirming the same to InkArcade in writing.
6. Warranty and Limitation of Liability
The Licensed Materials provided under the terms of this License are owned by InkArcade and are sold "as is", and "as available", without any warranties or guarantees of any kind expressed or implied. INKARCADE HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH REGARD TO PRODUCTS, SERVICES AND RELATED MATERIALS, INCLUDING ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL INKARCADE BE LIABILE FOR ANY DAMAGES INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL AND SPECIAL DAMAGES OR OTHER LOSSES ARISING OUT OF THE USE OR INABILITY TO USE ANY OF THE INKARCADE PRODUCTS OR SERVICES.
7. No Refund Policy
Due to the intangible and thus non-returnable nature of the Licensed Materials, InkArcade does not offer refunds or exchanges. However, damaged files will be replaced with a copy of the same file should such a request be made. If you are dissatisfied with your purchase, an exchange may be issued for alternate item(s) equal to or less than the value of your purchase at our discretion within 7 days of your initial purchase date.
